Value the economics, not the story
A valuation is a range supported by earnings quality, growth, concentration, transferability and risk. A headline multiple is not meaningful without understanding the profit definition and the stability of the underlying business.
Normalize carefully
Separate recurring operating performance from one-off costs or discretionary owner expenses. Any adjustment should be documented and defensible because a buyer will usually test whether it should continue after acquisition.
A practical review checklist
- What claim is being made, and what primary evidence supports it?
- Which revenue, traffic, customer or operational factor is most concentrated?
- What must transfer to the buyer for the business to continue operating?
- What work currently depends on the owner or a single employee, vendor or platform?
- Which assumptions would materially change the price or the decision to proceed?
