Build an evidence trail

Good due diligence connects claims to source evidence. Reconcile financial statements with payment processors or storefront data, compare traffic claims with analytics, and document material assumptions that cannot be independently verified.

Focus on what can break

Prioritize risks that could materially change future cash flow: customer or channel concentration, owner dependence, supplier fragility, policy exposure, intellectual-property problems, or assets that cannot be transferred cleanly.

A practical review checklist

  • What claim is being made, and what primary evidence supports it?
  • Which revenue, traffic, customer or operational factor is most concentrated?
  • What must transfer to the buyer for the business to continue operating?
  • What work currently depends on the owner or a single employee, vendor or platform?
  • Which assumptions would materially change the price or the decision to proceed?
